Job Description • Take leadership role in all aspects of transaction management. • Order and/or review title commitments, exception documents and surveys, interfacing directly with the title company and surveyor to resolve any issuesor discrepancies. • Prepare and administer contract critical dates and closing checklists. • Prepare initial draft documents, amendments to agreements or leases and miscellaneous documents, including estoppel certificates and SNDAs, for attorney review. • Prepare clear and concise correspondence, escrow instructions letters, title and survey objection letters, open items lists, and other memoranda. • Order and coordinate delivery of containment letters. • Possess strong working knowledge of formation and basic governance of entities for use in review and preparation of organizational and authority documents. • Order and review certified entity documents, such as good standing, qualification and formation certificates. • Prepare and file UCC financing statements, order UCC lien and other searches and prepare summaries of lien search results, and record documents in various counties and states. • Prepare lease, title document and loan abstracts. • Review zoning reports, site plans and similar materials. • Prepare and review closing statements. • Prepare earnest money escrows and coordinate delivery of deposits. • Coordinate and assist with all other aspects of closings. • Attend to all post-closing requirements, including preparation of closing indices, preparation and organization of closing binders, and monitoring of all post-closing deliveries or requirements. • Must possess excellent legal research skills, including knowledge of electronic databases. • Other duties as assigned. Educational And Experience Requirements • Bachelor degree, or comparable experience preferred. • Seven years of previous experience in commercial real estate transactions/closings, including experience with acquisitions, dispositions, financings, leasing, construction and development.

SCOPE OF RESPONSIBILITY: This position will work within three departments: Corporate, and Estate and Trust. The role requires frequent contact with others inside and outside the firm including immediate partners, associates, supervisor, members of other departments or other offices, clients, accountants, appraisers, and other professionals.
